Read this document together with the related policies and any approved customer order form.
Agreement and eligibility
These terms govern access to Engage AI and form part of the agreement between the approved Engage AI contracting entity and the organization identified during signup or in an order form. If an order form or signed agreement conflicts with these online terms, the signed document controls for that customer to the extent stated in it.
The person accepting these terms confirms that they are legally able and authorized to bind the customer organization. Engage AI is intended for business use, not personal or household use.
Accounts and administration
Customers must provide accurate account and billing information, keep it current, protect credentials and promptly remove access that is no longer authorized. The customer is responsible for activity performed through its accounts unless caused by Engage AI's breach of the agreement.
Workspace owners and authorized administrators control user access, roles, approved content, providers, AI capabilities and operational settings. They must use reasonable security controls and notify the approved support channel of suspected unauthorized access.
The service and AI-assisted features
Engage AI provides customer-engagement, conversation, lead, appointment, content, reporting and configured automation capabilities. Features depend on the selected plan, enabled capabilities, provider readiness and documented service limits.
AI-generated or AI-assisted output may be incomplete, incorrect or unsuitable for a particular situation. Customers must maintain accurate approved knowledge, configure appropriate human review and use human handover for sensitive, uncertain or high-impact interactions. Engage AI is not a substitute for legal, medical, financial or other professional advice.
Customer data and instructions
As between the parties, customers retain their rights in customer-provided data and approved content. Customers grant Engage AI the limited rights needed to host, process, transmit, secure and support that information to provide the service.
Customers are responsible for ensuring that their collection, upload, instructions, communications and use of customer data are lawful and do not violate another person's rights. Customers must not provide data they are not authorized to process.
Connected channels and third-party services
Messaging, calendar, email, AI and payment features may depend on third-party services selected or configured by the customer. Those providers may impose separate terms, fees, templates, consent rules, message limits, availability or account-review requirements.
Engage AI is not responsible for a third-party service outside its reasonable control, but will operate its own integration boundary according to the agreement. Customers must maintain valid provider accounts and permissions where required.
Plans, capabilities and usage
Each plan includes a published message allowance and capability composition. A customer message received and a customer-visible reply sent count separately. Internal notes, drafts and delivery receipts do not count unless the pricing page states otherwise.
There is no automatic overage charge. At published thresholds, AI replies, automation, campaigns, broadcasts or new human replies may be restricted while inbound messages, authorized data access and billing remediation remain available as described on the pricing page.
Plan or capability changes take effect as shown before confirmation. We will not silently convert an unpublished option into a charge.
Trial, renewal, payment and tax
The planned eligible-customer trial lasts one calendar month, requires a provider-accepted card and automatically converts to the selected monthly subscription unless cancelled before the displayed trial end instant. The recurring price, currency, tax treatment and renewal timing must be shown before enrollment.
Subscriptions renew for successive billing periods until cancelled. Customers authorize the payment provider to charge approved amounts and must keep a valid payment method. Provider-confirmed subscription and invoice state is authoritative for payment reconciliation.
Prices exclude third-party channel charges and taxes unless expressly stated. Customers are responsible for applicable taxes, duties and required billing information, subject to law and the final checkout disclosure.
Cancellation and refunds
A customer may schedule cancellation for the end of the current subscription period and may reverse that request before the effective date where the service provides that option. Access and plan limits continue until cancellation takes effect, subject to suspension rights and payment status.
Routine mid-period refunds are not offered. This does not exclude mandatory statutory rights or reviewed remedies for duplicate charge, fraud, service failure or payment dispute. Approved remedies are handled through an auditable support and finance process.
Acceptable use and suspension
Customers and users must follow the Acceptable Use Policy and applicable provider rules. We may restrict or suspend access where reasonably necessary to prevent harm, address a security risk, comply with law, protect another tenant, investigate material misuse or respond to overdue payment.
Where practical and lawful, we will provide notice and an opportunity to remedy the issue. Emergency action may occur without advance notice when delay would create material risk.
Confidentiality and security
Each party must protect the other's confidential information with reasonable care and use it only for the agreement. Confidentiality obligations do not apply to information that is public through no breach, already lawfully known, independently developed or lawfully received without restriction.
Engage AI's implemented safeguards are described on the Security page. Customers remain responsible for their users, devices, provider accounts and configuration choices.
Intellectual property and feedback
Engage AI and its licensors retain rights in the platform, software, design, documentation and service improvements. No ownership transfers except as expressly stated in a signed agreement.
If a customer provides feedback, Engage AI may use it to improve the service without identifying the customer or disclosing confidential information. Third-party components remain subject to their respective licences.
Availability, support and service changes
We aim to operate the service reliably but do not promise uninterrupted or error-free availability. Maintenance, provider outages, internet failures, abuse controls and events outside reasonable control may affect access.
We may improve, replace or discontinue features. Material changes that significantly reduce a paid core service will be communicated as required by the agreement, and any specific service levels must be stated in an approved order form or service-level agreement.
Warranties, liability and general legal terms
The final production terms must state the approved warranty disclaimers, exclusions, liability cap, indemnities, governing law, dispute forum, assignment rights, notice method, severability and entire-agreement terms. These are material commercial decisions and are not inferred from the software implementation.
Nothing in these terms excludes liability or rights that cannot lawfully be excluded. Until the approved wording and contracting entity are inserted, public acceptance and payment must remain disabled.
